Terms of Service

These Terms of Service (“Terms”) govern your use of Avenivo, including the Avenivo application, website, account services, Online Room, Web Listener, and related services operated by Avenivo Labs LLC, a Wyoming limited liability company (“Avenivo,” “we,” “us,” or “our”).

By using Avenivo, you agree to these Terms.

If you do not agree to these Terms, do not use the service.

1. Avenivo

Avenivo is developing translation and related communication tools designed for situations such as travel, tours, conversations, and group listening.

Depending on the device, operating system, language, network conditions, and selected mode, translation may involve on-device functionality and/or Avenivo’s Online Room infrastructure.

Avenivo does not guarantee that every feature, language, device, or operating-system configuration will be available or perform identically.

2. Launch Beta

Avenivo is currently preparing a Launch Beta, which is not yet publicly offered through this website.

During the planned Launch Beta:

• Avenivo will be provided free of charge;
• payment functionality will not be offered to users;
• purchases and paywalls will not be offered to users;
• paid subscriptions will not be offered to users; and
• using the Launch Beta will not automatically enroll you in a future paid service.

Features may change during the beta as the service is tested and improved.

If Avenivo later introduces paid services, purchases, or subscriptions, applicable pricing and payment terms will be presented before a user is charged.

3. No Current Charges or Refunds

Avenivo does not currently charge users; the planned Launch Beta will be free of charge.

Because no purchase or subscription payment is currently collected by Avenivo for the Launch Beta, there is currently no payment to refund.

Nothing in these Terms limits any mandatory refund, cancellation, withdrawal, or consumer right that may apply if Avenivo later offers paid services.

4. Accounts

Some Avenivo features require a Guide account.

You are responsible for:

• providing an email address you are entitled to use;
• maintaining control of the email account used for authentication;
• maintaining the security of your devices and sessions; and
• promptly contacting Avenivo if you believe your account or session has been accessed without authorization.

You may not impersonate another person or use an account in a manner intended to deceive, harm, or obtain unauthorized access.

5. Translation Limitations

Machine translation, speech recognition, language detection, and related technologies can make mistakes.

Translations may be incomplete, inaccurate, delayed, unavailable, or affected by:

• accents or pronunciation;
• background noise;
• poor network connectivity;
• device performance;
• operating-system behavior;
• language-model limitations;
• ambiguous speech;
• specialized terminology; or
• other technical conditions.

You should use appropriate judgment before relying on a translation.

Not for emergency or high-stakes reliance

Avenivo is not an emergency communication service.

Do not rely on Avenivo as the sole means of communication where an incorrect, delayed, or unavailable translation could reasonably result in serious harm, including emergency, medical, legal, law-enforcement, safety-critical, or similarly high-stakes situations.

Avenivo does not provide medical, legal, or other professional advice.

6. Online Rooms and Web Listeners

Avenivo may allow a Guide to create an Online Room so that listeners can receive source and translated text through a supported web interface.

Avenivo’s Online Room infrastructure is designed to relay information required for the live room experience.

Listeners should understand that text displayed through an Online Room originates from a live translation process and may contain errors.

A Guide is responsible for deciding when and where to use Online Room functionality and for respecting applicable laws, rules, venue requirements, and the rights and expectations of people participating in or affected by the session.

7. Acceptable Use

You may not use Avenivo to:

• violate applicable law;
• infringe another person’s intellectual-property, privacy, publicity, or other legal rights;
• harass, threaten, exploit, or deliberately harm another person;
• attempt to gain unauthorized access to accounts, systems, rooms, or infrastructure;
• interfere with or disrupt Avenivo or its providers;
• bypass security or access controls;
• introduce malware or malicious code;
• conduct automated abuse, scraping, or attacks against the service;
• use Avenivo to misrepresent your identity or authority in a harmful or deceptive manner; or
• use the service in a way that creates unreasonable security, legal, or operational risk for Avenivo or other users.

We may take reasonable steps to protect the service, users, and infrastructure from prohibited or abusive activity.

8. Your Content and Communications

You retain any rights you have in speech, text, or other content that you provide through Avenivo.

You give Avenivo only the limited permission necessary to process that content to provide, secure, and operate the service you request.

For example, source and translated text transmitted through an Online Room must be processed so it can be delivered to room participants.

This permission does not transfer ownership of your content to Avenivo.

You are responsible for having any permissions required by applicable law when you capture, translate, transmit, display, or share another person’s speech or information using Avenivo.

9. Avenivo Intellectual Property

Avenivo and its software, website, interface, design, graphics, branding, documentation, and other materials provided by Avenivo are owned by Avenivo Labs LLC or are used under permission from their respective owners.

Subject to these Terms, Avenivo grants you a limited, personal, non-exclusive, non-transferable, revocable right to use the service for its intended purpose.

Except where applicable law permits otherwise, you may not:

• copy or redistribute Avenivo software or proprietary content outside the intended use of the service;
• modify or create derivative works from Avenivo proprietary materials;
• remove proprietary notices;
• use Avenivo trademarks or branding in a manner likely to cause confusion about sponsorship or affiliation; or
• attempt to obtain source code except where such restriction is prohibited by applicable law or where applicable open-source licensing permits it.

Third-party and open-source components remain subject to their applicable licenses.

10. Feedback

If you voluntarily provide suggestions, ideas, bug reports, or other feedback about Avenivo, you allow Avenivo to use that feedback to develop and improve its products and services without an obligation to compensate you.

This does not transfer ownership of unrelated personal content or communications to Avenivo.

11. Privacy

Our Privacy Notice explains how we process personal information.

Using Avenivo does not by itself constitute consent to every form of personal-data processing. Where applicable law requires a particular legal basis or consent, personal information will be handled subject to that requirement.

12. Third-Party Services and Platforms

Avenivo depends in part on third-party infrastructure, device platforms, operating-system functionality, network providers, email providers, and other services.

Avenivo does not control every third-party service and is not responsible for the independent terms, privacy practices, availability, or actions of a third party.

Your use of third-party services remains subject to the terms and policies of those providers.

13. Availability and Changes

The Launch Beta may contain errors, interruptions, or incomplete functionality.

Avenivo may modify, add, remove, limit, or discontinue beta functionality as the service develops.

We do not guarantee uninterrupted availability of Avenivo, Online Rooms, Web Listeners, particular languages, or particular integrations.

Where reasonably practicable, material changes affecting users will be communicated through the service or website.

14. Account Deletion and Ending Use

You may stop using Avenivo at any time.

Where an in-app account-deletion function is available, you may use it to request deletion of your Guide account.

The Privacy Notice explains the deletion process and limited information that may remain for security, suppression, legal, or system-integrity purposes.

Avenivo may restrict or terminate access where reasonably necessary to:

• address serious or repeated violations of these Terms;
• prevent fraud, abuse, security incidents, or unauthorized access;
• comply with applicable law or legal process; or
• protect the service, Avenivo, or other users.

Nothing in this section limits rights that cannot lawfully be excluded.

15. Beta Service Disclaimer

To the fullest extent permitted by applicable law, the Launch Beta, if made available, is provided “as is” and “as available.”

Avenivo does not promise that:

• translations will always be accurate;
• speech will always be recognized correctly;
• the service will always be uninterrupted or error-free;
• every language or feature will always be available;
• Online Rooms will always remain connected; or
• the service will meet every user’s particular requirements.

To the fullest extent permitted by applicable law, Avenivo disclaims warranties that may legally be disclaimed, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms excludes any warranty, guarantee, statutory right, or consumer protection that cannot lawfully be excluded.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Avenivo Labs LLC and its officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or related to the use of or inability to use Avenivo.

This includes, where permitted by law, losses arising from:

• inaccurate or incomplete translation;
• delayed or unavailable translation;
• interruption of an Online Room;
• loss of connectivity;
• loss of data;
• reliance on translated content; or
• acts or omissions of third-party service providers.

For the free Launch Beta, and to the fullest extent permitted by applicable law, Avenivo’s aggregate liability arising out of or relating to the service will not exceed US $100.

The limitations in this section do not apply to liability that cannot legally be limited or excluded.

In particular, nothing in these Terms is intended to exclude or limit liability for fraud, fraudulent misrepresentation, intentional misconduct, death or personal injury where exclusion is prohibited by law, or any other liability that applicable law does not permit Avenivo to exclude or limit.

17. Consumer Rights

These Terms do not waive or reduce mandatory consumer rights that apply to you.

If you are a consumer and the law of the country or state where you habitually reside gives you protections that cannot be waived by contract, those protections continue to apply regardless of anything in these Terms.

This provision is especially important where mandatory consumer-protection law applies to online services offered across jurisdictions.

18. Governing Law

Except where mandatory consumer law requires otherwise, these Terms and disputes relating to them are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws principles.

If you are a consumer, this choice of law does not deprive you of mandatory protections that apply under the law of your habitual residence and cannot lawfully be waived by agreement.

Nothing in these Terms requires a consumer to bring a claim in a forum where applicable law prohibits such a requirement.

19. Changes to These Terms

We may update these Terms as Avenivo develops.

If a change is material, we will update the “Last updated” date and provide additional notice where required by applicable law.

Your continued use of Avenivo after revised Terms take effect is subject to the revised Terms, except where applicable law requires additional consent.

20. Severability

If any provision of these Terms is found unenforceable, that provision will be applied to the maximum extent permitted by law or, where necessary, treated as severed.

The remaining provisions will continue to apply.

21. Entire Agreement

These Terms, together with the Privacy Notice and any additional terms expressly presented for a specific Avenivo feature, constitute the agreement between you and Avenivo regarding use of the service.

They do not override rights that applicable law does not permit the parties to waive.
